1. Introduction

Welcome to Lion CRM, a product of Lotsofcode Private Limited. These Terms and Conditions ("Terms") govern your use of the Lion CRM Chrome extension and related services. By purchasing, installing, or using Lion CRM, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use Lion CRM.

By purchasing a license, you are granted a non-exclusive, non-transferable, limited license to use Lion CRM subject to the following conditions:

  Subscription Based: All licenses are subscription-based with monthly billing. Your license remains active as long as your subscription is current.

  Single Account Use: One license permits use on one WhatsApp number only. Multiple accounts require multiple licenses.
• ✓
  Personal Use: The license is for your personal or business use and cannot be shared, rented, or leased to others.
• ✗
  Non-Transferable: Licenses CANNOT be transferred from one user to another under any circumstances.
• ✗
  No Resale Without Authorization: You cannot resell Lion CRM licenses unless you are an authorized Reseller or Whitelabel Partner.

4. Prohibited Activities

The following activities are strictly prohibited and will result in immediate license termination and potential legal action:

  Unauthorized Bulk Messaging: Sending bulk messages beyond the limits of your subscription plan or using the extension for spam purposes.
• ✗
  Code Modification: Modifying, altering, or tampering with the extension's source code, functionality, or any part of the software.
• ✗
  Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or derive the source code of Lion CRM.
• ✗
  Cracking or Piracy: Attempting to crack, bypass, or circumvent the license verification system or distributing cracked versions.
• ✗
  Unauthorized Sale: Selling, distributing, or sharing Lion CRM without explicit written permission from Lotsofcode Private Limited.
• ✗
  Illegal Activities: Using Lion CRM for any illegal, fraudulent, or harmful activities including but not limited to harassment, phishing, or scams.
• ✗
  Violation of WhatsApp ToS: Using Lion CRM in ways that violate WhatsApp's Terms of Service or community guidelines.

5. Account Suspension & Termination

We reserve the right to suspend or terminate your license and access to Lion CRM at any time if we determine that you have violated these Terms.

  Immediate Suspension: Upon discovery of any prohibited activity, your account will be suspended immediately without prior notice.

  Investigation: We will investigate the violation and may contact you for clarification.

  Permanent Termination: If the violation is confirmed, your license will be permanently terminated without any refund.

  Legal Action: For serious violations (cracking, unauthorized sale, code modification), we will pursue legal action.

You may also voluntarily terminate your subscription at any time by canceling your monthly subscription. However, no refunds will be provided for the remaining subscription period.

6. Payment & Refund Policy

All payments are processed securely through PayPal. By making a purchase, you agree to the following:

  Subscription Billing: Licenses are billed on a monthly subscription basis. Your payment method will be charged automatically each month until you cancel.

  Renewal: Subscriptions automatically renew each month. You can cancel anytime before the next billing cycle.

  Pricing: Prices are subject to change. Any price changes will be communicated in advance and will apply from the next billing cycle.

7. Reseller Authorization

Authorized Resellers and Whitelabel Partners receive official certification from Lotsofcode Private Limited.

  Official Certificate: Authorized Resellers will receive an official certificate of authorization visible in their backend panel.

  Verification: Customers can verify the authenticity of a Reseller through our official channels.
• ✓
  Support: Authorized Resellers receive priority support and resources from our team.

To become an authorized Reseller or Whitelabel Partner, please contact us through our official channels.

8. Updates & Modifications

Lion CRM is continuously improved with new features and updates:

  Extension Updates: Updates to Lion CRM will be delivered through the extension itself. Users should keep their extension updated for the best experience.

  Announcements: All updates, new features, and changes will be announced through our News & Status page and Community channels.

  Feature Changes: We reserve the right to add, modify, or remove features at any time. Significant changes will be communicated in advance.
• 📋
  Terms Updates: These Terms may be updated from time to time. Continued use of Lion CRM after changes constitutes acceptance of the new Terms.

9. Disclaimer & Limitation of Liability

Lion CRM is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

  No Warranty: We do not guarantee that Lion CRM will be error-free, uninterrupted, or meet your specific requirements.

  Third-Party Services: We are not responsible for any issues arising from third-party services (WhatsApp, PayPal, AI providers).

  Data Loss: We are not liable for any data loss resulting from browser issues, extension removal, or user actions.

  WhatsApp Account: We are not responsible if your WhatsApp account is banned or restricted due to your usage patterns.

  Limitation: Our total liability shall not exceed the amount you paid for your current subscription period.

All intellectual property rights in Lion CRM are owned by Lotsofcode Private Limited.

You are granted only a limited license to use the product. No ownership or intellectual property rights are transferred to you.

11. Governing Law & Dispute Resolution

This jurisdiction applies to all users, whether located in India or internationally. By using Lion CRM, you consent to this jurisdiction for any legal proceedings.

  Informal Resolution: Before initiating legal proceedings, you agree to contact us and attempt to resolve the dispute informally.

  Mediation: If informal resolution fails, both parties agree to attempt mediation before proceeding to court.

  Legal Proceedings: If mediation fails, disputes will be resolved in the courts of Pali, Rajasthan, India.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lotsofcode Private Limited regarding your use of Lion CRM. These Terms supersede any prior agreements or communications.
